LLC (Limited Liability Company):
Unlimited Members
Cannot Issue Stock
Board of Directors not Required
Single Member LLC - files taxes on a Sch C and subject to SelfEmployment Tax **
Multi-Member LLC - files on a Partnership Tax Return, Members pay Self-Employment Tax on their share of LLC's Profits**
**unless you elect S-Corporation Election for tax purposes.
S-Corporation:
Maximum 100 Owners
S-Corp is a status for LLC's (see above)
Avoids Double taxation on Profits
Pass Through Taxation (like LLC) but not subject to Self-Employment tax)
One thing to keep in mind when deciding on LLC and taking S-Corp Election or deciding on being an S-Corp .. You are not paying into Social Security as your profits are not subject to Self-Employment Tax.
